Board of Directors

Sterchi Hills HOA Board of Directors

The Board of Directors is the governing body responsible for operating the Association. They are unpaid volunteers, elected by a vote of the Association members, who donate their time for service. The primary duty of a board member is to act in a way that benefits the community as a whole. They have the responsibility of setting the Association's policies, standards and annual budget. All board members have an affirmative obligation to act in good faith toward the Association. Below describes the various roles of the Board of Directors.

The President shall preside at all meetings of the Board of Directors.  The President shall see that orders and resolutions of the Board of Directors are carried out and shall sign all notes, checks, leases, mortgages, deeds and all other written instruments.

The Vice President shall perform all the duties of the President in his absence.

The Treasurer shall receive and deposit in appropriate bank acounts all monies of the Association and shall disburse such funds as directed by resolution of the Board of Directors provided however, that a resolution of the Board of Directors shall not be necessary for disbursements made in the ordinary course of business conducted within the limits of a budget adopted by the Board.

The Secretary shall record the votes and keep the minutes of all proceedings in a book to be kept for that purpose.  The Secretary shall sign all certificates of membership.  The Secretary shall keep the records of the Association. The Secretary shall record in a book kept for that purpose the names of all members of the Association together with their addresses as registered by such members.

At-Large Board Members

The At-Large Board Members shall perform any duties incident to the office as may be assigned by the President or other Board of Directors.
